FIDUVANCE provides accounting, bookkeeping, financial reporting, and related financial management services to businesses in India. Our services include but are not limited to:

• Bookkeeping and Monthly Close services
• Accounting and GAAP Compliance
• Financial Reporting and Analytics
• Virtual CFO and Strategy Support
• Back Office Operations Support

3. Client Obligations

As a client, you agree to:

• Provide accurate, complete, and timely information required for us to perform our services
• Maintain appropriate access credentials and notify us of any unauthorized use
• Review all deliverables and reports and notify us of any discrepancies within a reasonable timeframe
• Pay all fees as agreed upon in your service agreement
• Comply with all applicable laws and regulations related to your business

4. Confidentiality

We treat all client financial information as strictly confidential. We will not disclose your confidential business information to third parties without your consent, except as required by law or as necessary to provide our services.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Fiduvance and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Fiduvance.

6. Limitation of Liability

In no event shall Fiduvance, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

Our liability shall not exceed the total amount paid by you to Fiduvance in the three (3) months preceding the event giving rise to the claim.

7. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely accurate. Accounting and financial services are provided based on the information you provide to us.

8. Tax and Regulatory Advice

While we provide accounting and financial management services, we do not provide legal or tax advice. Clients should consult with qualified legal counsel and tax professionals for advice specific to their situation. Our services are designed to support your accounting functions, not to replace professional legal or tax counsel.

9. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

Either party may terminate a service agreement with thirty (30) days written notice, subject to any specific terms in your individual service agreement.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
